In September 2004, Compass Group Investments, Inc. and its subsidiaries ("CGI") formed and capitalized Silvue Technologies Group, Inc. to acquire a majority interest in SDC Technologies, Inc. ("SDC"), a developer and manufacturer of proprietary, high-performance coating systems for polycarbonate, glass, acrylic, metals and other substrate materials used in the premium eyewear, aerospace, automotive and industrial markets. SDC's coatings, many of which are patent-protected in the U.S. and internationally, impart properties such as abrasion resistance, chemical resistance, UV protection, anti-fog, tint and impact resistance.
Prior to its acquisition by Silvue, SDC was a joint venture between Dow Corning Corporation and Pilkington plc. SDC's management team partnered with Compass to pursue a management-led buyout of the company from the two former joint venture partners. The transaction structured by Compass enabled management to become a significant minority shareholder in the company.
CGI sold its interest in Silvue in May of 2006 to Compass Diversified Holdings. Compass Diversified Holdings sold its interest in Silvue in May 2008. Over Compass’ ownership and management horizon dating back to 2004, this disposition produced a return of more than 7 times the initial equity deployed.
